This Code applies to all natural or legal entities who, directly or indirectly through employees, distributors, subcontractors, agents, intermediaries or other rep- resentatives (hereinafter “business partners”), supply products and / or services to the listed Efesan Group board and / or its subsidiaries (hereinafter collectively the “Efesan Group”).
Efesan Group procures raw materials, goods and services from business partners worldwide to ensure the sustainable success of both Efesan Group and its customers by offering innovative products and services. This is based on long-term, trusting partnerships and compliance with applicable laws.
For this reason, Efesan Group manages all business matters and business processes in accordance with its own Code of Conduct. However, it is only possible to ensure integrity, legal compliance and sustainability if business partners also live up to this responsibility.
We therefore expect our business partners to organise themselves accordingly in order to implement and comply with the principles set out in more detail below and to review their own supply chain in this respect.
Human Rights
Attention on human rights: The business partners shall respect the internationally recognised human rights.
Prohibition of child labour: The Efesan Group shall oppose the use of child labor, comply with relevant laws and regulations and act consistent with the Minimum Age Convention (ILO Convention 138). Except for training and apprenticeship programs approved by the authorities, persons under 18 years of age are not employed. It is strictly forbidden for our suppliers to employ child labor.
Prohibition of forced labour: The business partners shall not knowingly source materials from supply chains related to human trafficking or forced labour, and shall take appropriate measures to ensure that their own business partners will meet this same requirement.
Prohibition of discrimination: The business partners shall oppose every form of discrimination in accordance with applicable rights and laws. This applies in particular to discrimination against employees based on gender, race, disability, ethnic or cultural origin, religion or belief, age, sexual orientation or other personal characteristics.
Competition, Secrecy and Corruption
Fair competition: The business partners shall comply with relevant national and international laws for protecting fair competition. This particularly includes provisions on unfair competition and antitrust laws.
Avoidance of conflicts of interest: The business partners shall ensure that they and their employees act and make decisions in respect of their business relationship with Efesan Group free from conflicts of interest and other extraneous considerations regarding.
Protection of confidentiality and intellectual property: The business partners shall protect the confidential information entrusted to them by Efesan Group. Confidential information may be used and disclosed only in the manner authorised by Efesan Group. Confidential information means any business information relating to Efesan Group, its customers, and its business partners, which is not generally known to the public.
The business partners shall protect accordingly the Efesan Group’s intellectual property, such as patents, brands, copyrights, design, trade secrets, models and know- how.
Supplier Code of Conduct
Accepting and Offering Gifts: The principles regarding the prevention of potential conflicts of interest during the conduct of relations with private or official persons and organizations wishing to establish or maintain business relations with Efesan Group are as follows:
- Do not give promotions and promotions to companies and individuals who work together, except for gifts, promotions and amenities that exceed 100 Euros and do not give the impression of an irregularity.
- Not accepting any discounts or benefits from suppliers, customers, Group companies or third parties, not offering them to third parties, not accepting them when offered.
- Not requesting or accepting support for any activities, holidays, sports and leisure activities from any person or organization that conducts business with the Efesan Group.
Employees
Occupational safety and health protection: The business partners shall ensure work safety and health protection in the workplace under applicable national provisions. The business partners shall establish guidelines and procedures for work safety and health protection and subject these to constant refinement to avoid accidents and work-related illnesses.
Wages, salaries and working time: The business partners shall comply with all applicable laws governing wages and working time, including those regulating minimum wages, overtime and other remuneration elements, and shall ensure that their employees receive the social benefits to which they are legally or contractually entitled. They shall not require their employees to work more than the maximum number of hours permitted by law.
Freedom of association: The business partners shall observe their employees’ right to organise as provided for under applicable law.
Environment and Conflict Resources
Environmental protection: The business partners are committed the goal of environmental protection for today’s and future generations. They shall observe applicable laws for protecting the environment. The business partners shall treat natural resources with care and shall obligate their employees to act with environmental awareness. They shall work towards making their products as suitable as possible for reuse, recycling and safe disposal.
Monitoring the Supply Chain
Monitoring and verifying conformity: The business partners shall define and maintain a process for ensuring conformity with this code. This includes announcing this code’s requirements, and monitoring their fulfilment, in their own organisation. They shall endeavour to impose comparable obligations on their own upstream suppliers.
Upon request by Efesan Group, the business partners provide the necessary information for an initial assessment (so- called self-assessment) and keep the necessary docu- mentation. They shall grant Efesan Group or its representatives the right to check for compliance with the code by way of supplier audits and also grant them the right to inspect the documentation to a reasonable extent.
The business partners shall inform Efesan Group, without being asked, about incidents that constitute a serious breach of this code’s principles.
Efesan Group reserves the right to demand remedial action if this code is not fulfilled. In the event of serious or repeated violations of the principles and requirements set out in the Code for business partners, Efesan Group is entitled to terminate the cooperation without notice if necessary.
This code is an integral component of every business relationship with Efesan Group.
Reporting Breaches
Ethics Line Application:On the Efesan Group website, etik@efesan.com.tr has the address (which applies to suppliers and their employees) to report possible violations of the Code of Ethics or Supplier Code of Conduct which may affect the Efesan Group. The e-mails sent to this address shall reach the Chairman of the Board, General Manager and Human Resources Director directly . In addition, (0262) 653 42 60-2425-2457 number of violations to the ethical line can be reported.
